If you continue to browse and use this website, or if you engage our services, you are agreeing to comply with and be bound by the following Terms and Conditions of Business, which govern Just Signs & Lighting Ltd relationship with you in relation to this website and the provision of our goods and services.

The term "Just Signs & Lighting Ltd", "us", or "we" refers to the owner of the business. The term "you" or "the Client" refers to the user or viewer of our website, or the purchaser of our goods and services.

• "Company" means Just Signs & Lighting Ltd.
• "Client" means the person, firm, or company purchasing Goods or Services from the Company.
• "Goods" means the signage, lighting, materials, or other items manufactured, supplied, or delivered by the Company.
• "Services" means the design, manufacturing, survey, installation, or maintenance services provided by the Company.
• "Artwork/Proof" means any visual design, digital layout, or physical sample provided by the Company to the Client for approval before production

• Validity of Quotes: All written quotations are valid for a period of 30 days from the date of issue, after which they may be subject to change.
• Contract Formation: A binding contract is only formed when the Company receives written confirmation of the order from the Client and, where applicable, the required deposit payment has cleared.
• Accuracy of Information: The Client is entirely responsible for ensuring the accuracy of any specifications, measurements, or data supplied to the Company for the fulfillment of the order..

• Proof Approval: The Company will submit Artwork/Proofs to the Client for review. Production will not commence until the Client provides explicit written approval of the proof.
• Client Responsibility: Once a proof is approved by the Client, the Company accepts no liability for errors later discovered in text, spelling, layout, dimensions, color match, or design specification. Any alterations required after proof approval will be charged to the Client as an additional expense.
• Colour Matching: While every effort is made to match colours accurately, the Client acknowledges that exact colour matching cannot be guaranteed across different digital screens, printing substrates, and lighting conditions.

• Deposit: For bespoke or custom-manufactured Goods, a deposit of 50% of the total invoice value is required before work commences, unless otherwise agreed in writing.
• Final Payment: The remaining balance is strictly due upon completion of the manufacture/installation, or within 30 days of the invoice date if a credit account has been pre-approved by the Company.
• Late Payment: The Company reserves the right to charge interest on overdue invoices at a rate of 8% per annum above the Bank of England base rate, calculated daily from the due date until full payment is received.
• Value Added Tax (VAT): All prices quoted are exclusive of VAT, which will be charged at the prevailing rate where applicable.

• Timelines: Delivery and installation dates are estimates provided in good faith. The Company shall not be liable for any losses, damages, or expenses incurred by the Client due to delays in delivery or installation caused by third-party suppliers, weather conditions, or unforeseen technical issues.
• Site Readiness: If the Company is providing installation services, the Client must ensure that the installation site is safe, clear, and fully accessible at the agreed time.
• Permits and Consents: It is the sole responsibility of the Client to obtain all necessary planning permissions, building regulations approvals, landlord consents, and local authority permits required for the installation of the signage or lighting. The Company accepts no liability for unauthorized installations.
• Structural Integrity: The Client must inform the Company of any hidden pipes, wires, or structural vulnerabilities at the installation site. The Company is not liable for structural damage resulting from undisclosed site hazards.

• Risk: Risk of damage to or loss of the Goods passes to the Client immediately upon delivery to the Client's premises or upon completion of installation.
• Title of Goods: Absolute ownership of the Goods shall remain with Just Signs & Lighting Ltd and will not pass to the Client until the Company has received full payment in cleared funds for the Goods and all other services provided.
• Right of Entry: Until title passes, the Company reserves the right to enter the Client's premises to repossess and remove the Goods if the Client defaults on payment.

• Ownership of Designs: All intellectual property rights, copyrights, and design rights in any artwork, concepts, or digital files created by Just Signs & Lighting Ltd remain the exclusive property of the Company unless explicitly transferred to the Client in writing upon full payment.
• Client Indemnity: The Client warrants that any logos, artwork, or imagery supplied to the Company for production do not infringe the intellectual property rights of any third party. The Client agrees to indemnify the Company against any claims, damages, or costs arising from copyright infringement.
• Marketing Rights: The Company reserves the right to photograph completed installations and use these images for promotional, portfolio, website, and social media marketing purposes, unless the Client explicitly requests otherwise in writing.

• Defect Notification: The Client must inspect the Goods and Services upon delivery or installation and notify the Company in writing of any defects, damages, or shortages within 48 hours. Failing this, the Goods will be deemed accepted.
• Warranty Scope: The Company offers a 12-month warranty on structural craftsmanship and structural elements manufactured by us. Third-party components (such as specific LED modules, drivers, or specialized lighting components) are subject to the manufacturer’s original warranty terms.
• Exclusions: The warranty does not cover defects caused by accidental damage, vandalism, severe weather events, unauthorized modifications, lack of maintenance, or electrical power surges.
• Limitation of Liability: To the maximum extent permitted by law, the Company's total liability for any claim arising out of this contract shall not exceed the total price paid by the Client for the specific Goods or Services in question. The Company is not liable for any indirect, incidental, or consequential economic losses (including loss of business or profit).

• Custom Orders: Due to the bespoke nature of sign manufacturing, orders cannot be canceled by the Client once production has commenced.
• Cancellation Fees: If a Client cancels an order prior to production but after work has begun on design, site surveys, or material procurement, the Client will be liable to pay for all administrative, design, and material costs incurred by the Company up to the date of cancellation.

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales (or Scotland/Northern Ireland depending on your specific location), and any disputes arising under or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
